Jurisdiction
I agree that any controversy or claim arising out of or relating in any way to this Agreement, or to the Web site, shall be settled exclusively by binding arbitration in Dallas County, Texas, USA, in accordance with the then existent commercial rules of the American Arbitration Association. Such proceedings will be governed by substantive Texas law (but not Texas procedural law) excluding any application or consideration of the Texas Arbitration Act.
 
This Web site is controlled and operated by Rannoch from its headquarters in Texas, USA. Rannoch makes no representations that materials on the Web site are appropriate or available for use in jurisdictions outside the US. Those who access the Web site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.

Termination
Rannoch may terminate this User Agreement and these terms and conditions and/or the provision of any of the product, information or services at any time for any reason, including any improper use of this site or your failure to comply with these terms and conditions. Such termination shall not affect any right to relief to which Rannoch and its third party providers and distributors may be entitled. Upon termination of this User Agreement, all rights granted to you will terminate and revert to Rannoch and its third party providers or distributors, as applicable.

Injunctive Relief
In entering and using this site, you acknowledge that a violation or attempted violation of any of this User Agreement will cause irreparable  damage to Rannoch the exact amount of which would be difficult to ascertain and for which there will be no adequate remedy at law. Accordingly, notwithstanding the Arbitration clause herein, you agree that Rannoch shall be entitled as a matter of right to an injunction issued by any court of competent jurisdiction, restraining such violation or attempted violation of these terms and conditions by you, or your affiliates, partners, or agents, as well as recover from you any and all costs and expenses sustained or incurred by Rannoch in obtaining such an injunction, including, without limitation, reasonable attorneys’ fees. You agree that no bond or other security shall be required in connection with such injunction.

Severability
If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and this Agreement shall continue in effect.
